What Is the CR6 Form?

The CR6 form is the statutory notice prescribed under the Companies and Other Business Entities Act [Chapter 24:31] for informing the Registrar of Companies of the situation of the company’s registered office. Every company registered in Zimbabwe must have a registered office, and its location must be on file with the Companies Registry at all times.

The registered office is the company’s official address for legal and administrative purposes. It is where government notices, court documents, and correspondence from ZIMRA are delivered.

What the Registered Office Must Be

  • A physical address in Zimbabwe — a PO Box alone is not sufficient
  • Accessible during business hours — the address must be a place where documents can be physically delivered
  • Within Zimbabwe — you cannot have a registered office outside the country

The registered office does not need to be the company’s trading address. Many companies use their accountant’s, lawyer’s, or registration agent’s office as the registered address, especially if the business operates from multiple locations or from home.

How to Complete the CR6

Section 1: Company Details

Enter the company name (exactly as per the name search approval or Certificate of Incorporation) and the registration number (leave blank for initial registration).

Section 2: Registered Office Address

Provide the full physical address:

  • Building name or number
  • Street name
  • Suburb or area
  • City or town
  • Province

You may also include a postal address (PO Box) in addition to the physical address.

Section 3: Date of Effect

For initial registration, this is the date of incorporation. For a change of address, this is the date the company moved to the new address.

Section 4: Declaration

A director or the company secretary must sign the form, confirming the information is accurate.

Changing Your Registered Office Address

If your company moves to a new address, you must file a new CR6 within 14 days of the change:

  1. Pass a board resolution approving the change of registered office
  2. Complete a new CR6 form with the new address
  3. Submit to the Companies Registry with the applicable filing fee (included in our service)
  4. Update your letterheads, invoices, and business cards with the new address

Important: Failure to file a CR6 change within 14 days is an offence. More critically, if the Registry has an outdated address, you may miss important correspondence — including tax notices from ZIMRA or court summonses.

What Must Be Kept at the Registered Office

Under the Act, the following statutory registers must be kept at (or near) the registered office and made available for inspection:

  • Register of Members (shareholders)
  • Register of Directors and Secretary
  • Register of Charges (mortgages and security interests)
  • Minute books (board meetings and general meetings)
  • Copies of annual returns
  • Accounting records (must be kept for at least 6 years)
